Skycles Marketplace Seller Agreement
Version 1.0
Marketplace Relationship
Skycles provides the storefront, customer checkout, payment collection, order records and marketplace administration. Sellers may list approved merchandise but may not collect payment directly from Skycles customers or place outside payment instructions in listings or customer communications.
Listing Approval
Every seller listing is subject to Admin review. Skycles may approve, reject, hide, suspend or remove a listing when necessary for marketplace operations, safety, policy compliance or customer protection.
Payment and Commission
Customers pay Skycles through payment methods offered by the Skycles checkout. Skycles calculates the marketplace commission at the rate assigned to the seller or the current default rate. The remaining seller proceeds are recorded in the seller ledger. Sellers do not connect their own payment processor to Skycles.
Shipping and Delivery
The seller is responsible for accurately describing the item, safely packing it, shipping it within the required time and providing valid tracking when required. The seller protection period does not begin until delivery is confirmed in the marketplace record.
Buyer Protection and Fund Hold
Seller proceeds remain Held after a sale. After delivery is confirmed, the buyer protection period begins and normally continues for 14 days. Funds do not become Available merely because time has passed. There must be no open return, refund, payment dispute, Admin hold or other unresolved transaction issue.
Returns, Refunds and Disputes
If a return, refund, payment dispute, cancellation, delivery problem or other claim occurs, Skycles may freeze the related seller funds while the matter is reviewed. If a refund or adjustment is appropriate, Skycles may adjust the seller ledger before releasing any remaining balance.
Reserves and Negative Balances
Skycles may apply a reasonable seller reserve when configured for marketplace risk management. Refunds, disputes, chargebacks, fees, losses or corrections attributable to a seller transaction may be deducted from Held or Available funds. If those funds are insufficient, the seller account may carry a negative balance that may be recovered from future seller proceeds or otherwise owed to Skycles, subject to applicable law.
Seller Payment
Available does not mean an unconditional automatic payout. It means the normal protection requirements have been satisfied and the funds are eligible for Admin review. Skycles pays approved seller balances offline, such as by check or bank transfer, and records the payment in the permanent seller ledger.
Records
Skycles may retain transaction, listing, payment, shipment, delivery, return, dispute, communication, ledger and payout records as reasonably necessary for marketplace operations, accounting, fraud prevention, dispute handling and legal obligations.
Seller Responsibilities
The seller represents that the seller has the right to sell each listed item, that descriptions and photographs are accurate, and that items comply with applicable laws and Skycles marketplace rules. Counterfeit, stolen, prohibited or materially misrepresented items are not permitted.
Acceptance
By selecting the agreement checkbox and typing the seller legal name as an electronic signature during registration or first login, the seller acknowledges reading and accepting this Seller Agreement. Skycles records the agreement version, acceptance date, electronic signature and related account record.
This marketplace agreement is an operational template and is not a substitute for advice from a qualified attorney. Before opening seller registration publicly, Skycles should have the final terms reviewed for the jurisdictions in which it operates.
